Fiyrr Technology QA/QC Web Portal Service Agreement
This Service Agreement ("Agreement") is made and entered into on the date of execution ("Effective Date") by and between **Fiyrr Technology** ("Service Provider" or "Fiyrr Technology"), and the **Customer** (the "Client" or "Contractor" using the portal), collectively referred to as the "Parties."

1. Scope of Service
Fiyrr Technology agrees to provide the Customer with non-exclusive access to its QA/QC Web Portal (the "Service") for managing quality assurance processes, document exchange, and project workflow.
2. Fees and Payments
The Customer agrees to pay Fiyrr Technology the service charges and storage fees as selected and agreed upon during the checkout process (the "Fees").

All Fees are **exclusive of government taxes** (e.g., VAT, sales tax), which shall be borne solely by the Customer. |
3. Fiyrr Technology Responsibilities (Service Provider)
- **Core Service Uptime:** Maintain and host the QA/QC Web Portal to ensure reasonable access and functionality.
- **Security:** Provide a base level of platform security, including **basic HTTPS and SSL encryption**. Additional security features requested by the Customer may be provided for **additional charges**.
- **Server/Software Loss:** If a **server crash or software data loss** occurs due to Fiyrr Technology’s infrastructure failure:
- If the Customer **paid for our backup service**, Fiyrr Technology's liability is defined in **Section 5.F** below.
- If the Customer **did not pay for our backup service**, the Customer agrees to Section 4.C.
4. Customer Responsibilities
- **Account Security:** The Customer is **solely responsible** for maintaining the confidentiality and security of their login credentials.
- **Prohibited Use:** The Customer **must not share login credentials** with individuals or entities accessing from any **unregistered location, IP address, or country prohibited** by government sanctions. Any breach will result in immediate termination without refund.
- **Data Backup:** **The backup of all data, documents, and records** stored on the Service is the **sole and primary responsibility of the Customer**.
- **Consequence of No Backup:** If the Customer chooses **not to pay** for Fiyrr Technology’s optional backup services, Fiyrr Technology shall have **zero liability** for the loss of any data due to a server crash, software failure, or any other cause.
- **Data Alteration/Deletion:** The Customer is **fully and solely responsible** for any **deletion or alteration** of data and documents uploaded to the portal, whether performed by the Customer directly or by any login ID provided to and utilized by the Customer or purchaser of the plan.
- **Content Compliance:** The Customer warrants that all documents and data stored on the Service comply with all applicable local government rules and regulations. The Service is priced for **cloud storage space only**.
5. Data Loss and Liability Limitation
- **Governing Law:** This Agreement shall be governed by and construed in accordance with the **applicable local government rules and regulations** as mutually agreed upon by the Parties.
- **Final Decision Clause (Shared Risk Model):** In case of any dispute involving a server crash or data loss leading to a refund, Fiyrr Technology’s liability is strictly limited to a **70% refund of Fees paid** for the current service term (excluding government taxes).
- The remaining **30% of the Fees will be retained by Fiyrr Technology** as overhead cost coverage. The Customer accepts this **Shared Risk Model** because the stability and performance of software and technology depend on several external factors not entirely under Fiyrr Technology’s control. This retained amount contributes to covering Fiyrr Technology’s ongoing overhead costs (including development, staff, hosting, etc.), recognizing that the continuation of the Service is in the equal interest of both Parties.
- Given this clearly defined liability, Fiyrr Technology’s decision regarding liability and refund amounts shall be **final and binding**.
- **Execution:** A service agreement will be signed by both buyer and seller of service with applicable local government rules and regulations.
6. Execution
This Agreement must be signed by authorized representatives of both the Service Provider and the Customer to become legally binding.
