The Fiyrr Technology QA/QC Web Portal is a software-as-a-service (SaaS) platform designed for managing quality assurance, quality control, inspections, documentation, and punch lists for construction and engineering projects ("Project Data").
Subject to your compliance with these Terms, Fiyrr grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your internal business purposes related to managing project quality control.
You are responsible for maintaining the confidentiality of your account login information and are fully responsible for all activities that occur under your account. You agree to notify Fiyrr immediately of any unauthorized use of your account.
You retain all ownership rights to the Project Data (text, images, documents, reports, etc.) you submit, post, or display on or through the Service. By posting Project Data, you grant Fiyrr a non-exclusive, royalty-free, worldwide license to use, reproduce, and display the data solely for the purpose of providing the Service and fulfilling our contractual obligations to you and your Company.
You are solely responsible for the accuracy, quality, integrity, legality, and reliability of all Project Data and its submission into the Service. Fiyrr is not responsible for any liability or losses arising from inaccurate or incomplete data.
You agree not to, and will not permit any third party to:
Access to the Service is provided on a subscription basis. You agree to pay all applicable fees as described on the Fiyrr website or in the separate commercial agreement between your Company and Fiyrr. All fees are non-refundable unless otherwise explicitly stated.
Fiyrr may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease. Fiyrr will retain your Project Data for a period of [30] days after termination, during which time you may request an export, subject to payment of any outstanding fees. After this period, Fiyrr may delete your data.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. FIYRR MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Fiyrr does not warrant that the Service will be uninterrupted, error-free, or completely secure. You acknowledge that construction and engineering decisions based on data in the Service are your sole responsibility.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FIYRR, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.
IN ALL CASES, FIYRR'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOUR COMPANY TO FIYRR FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
These Terms shall be governed and construed in accordance with the laws of **[STATE/COUNTRY WHERE FIYRR IS INCORPORATED]**, without regard to its conflict of law provisions.
